In general, Strategic’s role is to lead in the development and execution of the transaction in order to maximize the company’s objectives.  Depending on the company’s objectives, our involvement will typically be in one of two roles — providing capital or providing advisory services.  Initially, either role includes the following steps:

· Establishing clear company\shareholder objectives

· Determining valuation & credit condition of the company in order to assess transaction feasibility

· Implementing tactical & contingent critical path for execution of transaction

If the conditions and needs call for capital products provided by Strategic, our role centers on providing rapid response and clear communication during the underwriting and closing process and throughout the relationship of the financing.

In an advisory capacity, our role is expanded to include :

· Developing alternative transaction strategies & assisting the company in determining the optimum strategy

· Preparation of company information, business plan, financial data & forecast, and additional information for presentation to financing sources & transaction related parties

· Coordinate and manage due diligence related third party requirements

· Lead in the development, negotiation & documentation of the terms & conditions of various forms of financing and transaction documentation

In either event, our role is to provide a successful outcome —  maximizing the company’s objectives while minimizing its time, resources and distraction from running the business during the transaction process.
